Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Biertex platform, website (biertex.com), and related services (collectively, "the Platform"). The Platform is operated by Biertex LLC, a limited liability company organized under the laws of the State of Delaware, United States ("Biertex", "we", "us"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

1. Eligibility

You must be at least 18 years old.
You must have the legal capacity to enter into a binding contract.
You must not be a resident of, or located in, any jurisdiction where cryptocurrency services are prohibited by applicable law.
You must not be listed on any U.S. or international sanctions list, including OFAC's Specially Designated Nationals (SDN) list.
You are solely responsible for complying with the laws of your jurisdiction.

2. Your Account

You must provide accurate, current information, including your legal name and email address.
You are responsible for safeguarding your password and any credentials.
You may not share your account with any other person.
You must promptly notify us of any unauthorized use of your account.
We may suspend or close accounts that violate these Terms.

3. Services

Biertex provides a platform for users to:

Deposit supported cryptocurrencies via third-party payment providers.
Hold a recorded balance within the Platform.
Request withdrawals, subject to identity verification and manual approval.
Access market data, price charts, and analytics tools.

Note: Trading features may be enabled or disabled at our sole discretion. When disabled, users cannot place orders.

4. Deposits

Deposits are processed by third-party payment providers (currently Shieldz).
We do not control the processing time, fees, or network confirmation of third parties.
Your account balance is credited only after on-chain confirmation.
We reserve the right to reject or reverse deposits that are fraudulent, illegal, or violate these Terms.

5. Withdrawals

Withdrawals require completed KYC verification and account activation.
Every withdrawal is reviewed and approved manually before processing.
We may reject withdrawals where we cannot verify the destination address, the user's identity, or the legitimacy of the request.
Network fees apply and are deducted from the withdrawal amount.
We are not responsible for funds sent to an incorrect address provided by you.

6. Risk Disclosure

Cryptocurrency is highly volatile and involves significant risk, including:

Price volatility — the value of your holdings may rise or fall dramatically, including to zero.
Loss of funds due to incorrect addresses, private key loss, or user error.
Regulatory risk — laws and regulations may change and affect availability of the Platform in your jurisdiction.
Technology risk — network congestion, forks, or blockchain issues outside our control.
Custody risk — while we take reasonable security measures, no system is entirely free of risk.

Never deposit more than you can afford to lose. Cryptocurrency is not FDIC-insured or SIPC-protected.

7. Prohibited Conduct

You agree not to use the Platform for:

Money laundering, terrorist financing, or any illegal activity.
Fraud, impersonation, or misrepresentation.
Transactions involving sanctioned persons or entities.
Attempting to exploit, hack, or reverse-engineer the Platform.
Creating multiple accounts to bypass limits or verification.
Violating any applicable U.S. federal or state law.

8. Fees

We may charge fees on certain transactions. Applicable fees will be displayed before you confirm a transaction. We reserve the right to change fees with reasonable notice.

9. Suspension and Termination

We may suspend or terminate your account at any time if:

We suspect fraud or illegal activity.
You violate these Terms.
We are required to do so by law, regulation, or a regulator (including FinCEN or a state regulator).

You may close your account at any time after withdrawing any remaining balance, subject to applicable law and any outstanding obligations.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIERTEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE VALUE OF YOUR ACCOUNT BALANCE AT THE TIME OF THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

12. Dispute Resolution and Arbitration

Please read this section carefully. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in the State of Delaware, or another mutually agreed location, and will be conducted in English.

You and Biertex each waive the right to a trial by jury and the right to participate in a class action. You may opt out of this arbitration agreement by emailing us at [email protected] within 30 days of first accepting these Terms.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or notice on the Platform at least 7 days before they take effect. Continued use after the effective date constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions, except that the arbitration provisions above govern dispute resolution.
